Job Description: Are you an experienced business attorney with financial services regulatory experience? 40billion.com is seeking a Vice President, General Counsel to serve as an officer of the company and as the company’s general legal advisor. You will also be the Secretary for the Board of Directors and will be involved in strategic direction setting and overall management of the organization.

The Vice President, General Counsel will provide strategic input to the management team regarding compliance and corporate governance matters and will maintain a thorough knowledge of federal and state laws affecting the company’s business operations. You will identify legal developments and trends which may impact the company and assist in strategizing and developing the company’s policy positions to minimize the threats and maximize the opportunities. You will oversee company licenses in all states; review, negotiate, draft, and interpret contracts and other legal documents; review and approve the company’s communications and advertising, both online and offline.

The ideal candidate will possess the following:

• 5+ years of business law and securities law experience, including incorporations, private placements and private offerings
• 3+ years of experience in financial institution law (banking, credit union, savings and loan, venture capital)
• Extensive knowledge of federal and state securities regulations (Reg D, Rule 504, Blue Sky, lending laws), and ability to navigate the current regulatory environment successfully
• JD from a top-tier law school, and member of a state bar; MBA, a plus
• Strong negotiation skills
• Internet / Web savvy
• Entrepreneurial spirit and passion
• Self-motivated, hardworking, get-things-done attitude
• Familiarity with P2P / social lending, a plus
